Competify is a brand developed by Pagecode Ltd. The legal entity supplying your services is the entity identified in your signed proposal or service agreement. If those documents conflict with these website terms, the signed agreement takes priority.
1. Scope and definitions
These terms apply to business use of the Competify managed competition platform, related websites, hosting, support, migration and agreed custom work. They do not create rights for consumers entering competitions on a client's website.
Client means the business buying the Services. Platform means the Competify software, systems, workflows and documentation. Services means the work set out in the applicable proposal or service agreement. Client Materials means content, branding, data and assets supplied by or for the Client.
2. Platform ownership and licence
Competify and its licensors retain all rights in the Platform, including its source code, architecture, database structures, interfaces, reusable components and improvements. Subject to payment and these terms, the Client receives a limited, non-exclusive, non-transferable right to use the Platform for its own competition business during the service term.
The licence does not transfer ownership of the Platform or provide access to source code. The Client must not copy, resell, reverse engineer, sublicense or provide the Platform to another operator unless agreed in writing.
Client Materials and custom work
The Client retains its rights in Client Materials. Ownership and licensing of bespoke design or development are governed by the signed proposal. Unless that proposal states otherwise, reusable platform components, backend functionality and general platform improvements remain part of Competify.
3. Managed services and hosting
Competify is supplied as a hosted and managed service. Hosting, maintenance, updates and support are provided to the scope stated in the Client's agreement. The Client may not self-host the Platform unless this is expressly agreed in writing.
Delivery dates depend on timely access, content, approvals and decisions from the Client. Requests outside the agreed scope may be quoted separately before work begins.
4. Client responsibilities
The Client is responsible for operating its competitions lawfully, accurately and fairly. This includes competition rules, eligibility, prize descriptions, free-entry routes where required, age controls, marketing claims, tax, consumer obligations and obtaining specialist legal advice.
The Client must keep administrator credentials secure, use appropriate access controls and promptly notify Competify of suspected misuse or security incidents. The Platform must not be used for unlawful, misleading, abusive or fraudulent activity.
Competify may refuse, disable or remove a configuration or feature where it reasonably believes there is a legal, security, fraud, performance or player-safety risk.
5. Fees, payment and changes
Subscription fees, setup work, custom development, payment dates and any minimum term are set out in the applicable proposal or service agreement. Competify does not charge order fees or take a percentage of entry revenue unless a signed agreement expressly says otherwise.
Overdue invoices may result in paused work or suspended access after reasonable notice. The Client remains responsible for undisputed fees already due. Changes requested after approval may affect cost and delivery dates.
6. Data, confidentiality and analytics
Each party will protect the other's confidential information and use it only to provide or receive the Services. The Client is responsible for the legality and accuracy of data entered into the Platform.
Where Competify processes personal data for a Client, the parties will comply with applicable data-protection law and any agreed data-processing terms. Competify may use aggregated and anonymised service data to monitor performance, improve features, prevent abuse and understand platform usage, provided it does not identify the Client or its players.
7. Availability, maintenance and support
Competify is designed for high-volume use, but no online service can be guaranteed to be uninterrupted or error-free. Planned maintenance, urgent security work, third-party outages and events outside reasonable control may affect availability.
Support priorities and response arrangements are those stated in the Client's agreement. The Client should maintain appropriate internal procedures for competition closures, draws and customer communication.
8. Suspension and termination
Either party may terminate in accordance with the applicable service agreement. Competify may suspend access where necessary to protect security, comply with law, address material misuse or respond to material non-payment after notice where notice is practical.
On termination, the Client's licence to use the Platform ends. Data export, transition support, outstanding fees and deletion schedules will be handled under the service agreement and applicable law.
9. Warranties and liability
Nothing in these terms excludes liability that cannot legally be excluded, including liability for fraud or fraudulent misrepresentation, or death or personal injury caused by negligence.
To the fullest extent permitted by law, neither party is liable for indirect or consequential loss, loss of profit, loss of anticipated savings or loss caused by matters outside its reasonable control. Any specific liability cap or service remedy is set out in the signed service agreement.
The Client remains responsible for its competition decisions, legal compliance, prize fulfilment and customer promises. Competify is not the promoter of a Client's competitions unless expressly agreed in writing.
10. General
Neither party may transfer its agreement without the other's written consent, except as part of a genuine business reorganisation or sale where the successor accepts the agreement. A delay in enforcing a right is not a waiver of that right.
If any provision is unenforceable, the remaining provisions continue. Notices may be sent using the details in the service agreement. The governing law and courts are those specified in that agreement. If it does not specify them, the laws and courts of England and Wales apply.
We may update these website terms to reflect service, legal or operational changes. Material changes affecting an active Client will be communicated as required by its agreement.
Questions about these terms can be sent through our contact page.
